• Certificate related to the closure of bank account of the company.
• Copy of the Board Resolution.
• Copy of the resolution of the creditors stating that three-fourths of members have accepted.

Registration Procedures

Petition Filed for Winding up of a Company

Statement of Affairs :

• Must accompany the petition as per Rule 4 of the Companies (Winding Up) Rules, 2020.

• Submitted in Form WIN 4, updated within 30 days, in duplicate, with an affidavit in Form WIN 5.

Advertisement

• The petition must be advertised for a period of 14 days before the date of hearing.

Appointment of Provisional Liquidator

Send notice to the Provisional Liquidator :

• Registrar sends notice in Form WIN 9 within 7 days of the order via courier, registered post, or electronic method.

Winding up Order :

• Sent to the liquidator in Form WIN 11 and to the company in Forms WIN 12 and 13 within 7 days.

Custody of Property :

• Liquidator takes custody of all assets and documents.

Affairs of the company :

• Liquidator may apply to the tribunal for dissolution if just and reasonable.

Dissolving the Company :

• If accounts are in order, tribunal passes the order for dissolution within 60 days of receiving the application.
